ANNUAL GENERAL MEETING

The Norden Farm Centre Trust Limited has arranged for its Annual General Meeting

(AGM) to be held on 5th September at 5.30 p.m. in the Courtyard Theatre at Norden

Farm.

All members should have received a pack of paperwork for the AGM. If you believe

you enrolled as a member by sending in a completed application form and signing a

consent form and have not yet received a pack please contact Membership Services

on membership@nordenfarm.org.

Membership Scheme Information

Following the membership consultation that we carried out in March, we are now launching the membership scheme, and inviting people to become members.

Norden Farm Members will be able to vote at the Annual General Meeting, which we expect to be in September, when the audited accounts for 2011/12 will be available. We would ask for applications to be submitted by the end of June. Applications can be made after that date, but may miss the AGM.

We have put together some Q & A’s to answer questions that came up in the consultation process. Please see below.

What is it?

Norden Farm Members are responsible for the election of the Board of Trustees at the Annual General Meeting. Norden Farm is a charitable Trust ‘Norden Farm Centre Trust Ltd,’ and the Board of Trustees is responsible for running the Trust.

Members have their personal financial liability restricted to £1.

There is a legal requirement that the register of members is sent annually to Companies House. This will show all members, and note who has left or joined over the past year.

The scheme is consistent with our Memorandum & Articles (Norden Farm’s governing document).

Who is it for?

Our governing document requires that the scheme is for supporters of Norden Farm (must be over 18). This means regular attenders, volunteers, Friends of Norden Farm (previously Associate Members*), patrons, angels, performers, hirers and exhibitors, ‘everyone who is genuinely interested in furthering the objects of the company’ (quote from memorandum and articles).

How much does it cost?

In the first year membership will be free.

How does it work?

You need to complete an application form, and send back to us.

In due course, we will invite our Members to the AGM to vote on the Board of Directors.

You will be able to vote in person, or by proxy at the AGM.

We will send you information about the candidates so you can make an informed decision about who you would like to support as a Board member.

Is it the same as the Associate Membership?

No, the Associate Membership scheme is where customers get certain ticket and catering advantages, and pay an annual fee. This scheme is about getting involved in the governance of Norden Farm.

*As having two schemes called ‘membership’ is confusing, we will be re-naming the Associate Members, ‘Friends of Norden Farm’.
